1. Scope of Services
Vertex Presence provides custom web development, brand strategy, UI/UX engineering, and AI workflow automation systems. Specific scope, deliverables, and timelines are detailed in tailored project proposals provided prior to project initiation.
2. Intellectual Property Rights
Upon full settlement of agreed project invoices, all custom code assets, brand identities, and custom workflow architectures are transferred to the client. Vertex Presence retains ownership of core proprietary development frameworks, baseline utilities, and reusable boilerplate code.
3. Performance Standard & Speed Guarantee
We guarantee that all custom web platforms engineered by Vertex Presence achieve a 95+ score on Google Lighthouse mobile performance benchmarks at launch, provided third-party integrations outside our control do not alter baseline asset loading.
4. Payment Terms & Milestone Deposits
Projects initiate upon receipt of the agreed deposit invoice (typically 50%). Remaining balances are billed upon project completion and staging server sign-off, prior to final DNS migration to client production domains.
5. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Netherlands. Any legal disputes shall be submitted exclusively to the competent court in Amsterdam, Netherlands.
